Terms of Service

1. Who these terms are between

These terms are an agreement between you and [LEGAL ENTITY NAME] ("AXONIC", "we", "us"), the operator of the service at axonic.studio. By creating an account you accept them. If you are agreeing on behalf of a company, you confirm you are allowed to bind that company.

2. What the service is

AXONIC sits between an AI agent you build and the APIs that agent calls. It validates requests against tool schemas, restricts what a given end user can reach, pauses actions you mark as destructive until a person approves them, handles retries and reconciliation, and keeps a call log and an audit trail.

You keep your agent, your prompts, your model choices and your user interface. AXONIC is the layer underneath. We do not promise that any particular model, provider or third-party API will behave in a particular way.

AXONIC is sold as a single monthly subscription. The current price is shown on the plan screen before you pay, and payment is taken by Stripe. We never see or store your card details.

7. Your data

Your content stays yours. You grant us only the permission needed to run the service for you: to store it, process it, and transmit it to the providers you have configured. We do not use your content or your call logs to train models.

8. Availability

We work to keep the service up, but we do not offer a contractual uptime guarantee at this tier. Maintenance, provider outages and upstream API failures happen. Where a call's outcome is genuinely unknown, AXONIC is designed to report it as unknown rather than guess.

9. Liability

The service is provided as is. To the fullest extent the law allows, we are not liable for indirect or consequential loss, lost profits, or lost data. Where liability cannot be excluded, it is limited to the amount you paid us in the twelve months before the claim.

Nothing here excludes rights you have under consumer law that cannot be excluded by agreement.

10. Ending the agreement

You can stop using AXONIC and cancel at any time. We can end or suspend an account for a serious or repeated breach of these terms, or if we stop offering the service. If we close your account for anything other than a breach, we will refund any unused prepaid period and give you a reasonable chance to export your data.

11. Changes to these terms

We may update these terms. If a change materially affects you, we will give notice before it takes effect, and continuing to use the service afterwards means you accept the new version. Every version is numbered, and the version you accepted at signup is recorded against your account.

12. Governing law

These terms are governed by the laws of [JURISDICTION], and the courts of that place have non-exclusive jurisdiction.
